Cingular Wireless' Proposed Acquisition of AT&T Wireless To Proceed

ATLANTA -/25 Oct, 2004 - Wi-Fi Technology News/- Cingular Wireless LLC, a joint venture between SBC Communications Inc. (NYSE: SBC) and BellSouth Corp. (NYSE: BLS), announced that it has reached an agreement with the U.S. Department of Justice that will allow the company's proposed acquisition of AT&T Wireless to proceed on schedule.

"Today's decision by the Department of Justice is an important step in the approval process," said Stan Sigman, president and CEO of Cingular Wireless. "We hope the merger process will continue to progress in an orderly and expeditious fashion. This merger will create a premiere provider that is very well equipped to meet the most demanding needs of wireless customers today and in the future."

Cingular officials continue to expect the transaction to close later this quarter.

The combined entity will have licenses to operate wireless service in 49 of 50 states, and will serve the top 100 metropolitan areas after the consummation of the merger and the recently announced deal with Triton PCS.
