Aegis Assessments, Inc. Provides Additional Information on Application for AMEX
SCOTTSDALE, Ariz.-/05 Jan, 2005 - The Wi-Fi Technology Forum/- Scottsdale-based homeland defense contractor Aegis Assessments, Inc. (AGSI) has submitted all the relevant documentation to the American Stock Exchange(R) (AMEX) in order for the exchange to determine whether the company is eligible for listing. The AMEX is the second largest equity trading floor-based exchange in the United States.
Management is now working to meet both the quantitative and qualitative criteria that the AMEX requires in its listed companies. On Nov. 17, 2004 the company retained Cogent Capital to assist it in meeting all the necessary listing requirements in order for the company's common stock to begin trading on the AMEX. On Nov. 29, 2004 the company closed a $5 million private placement of Aegis common stock. Management is currently working to expand its board of directors in accordance with AMEX corporate governance standards.
The Company believes that a listing on the AMEX will increase its visibility to potential shareholders and also increase its exposure to the institutional marketplace. Management has previously disclosed that a listing on the AMEX is part of its long-term financial plan to increase liquidity and value for Aegis shareholders and attract institutional investors. The company believes its progress marketing its wireless products to federal, state and local public safety agencies will better enable the company to meet both the quantitative and qualitative AMEX listing requirements.
